Terms of Attendance and Participation

As a registered attendee or participant (“you”) in RetailClub (the “Event”) you agree to these terms and conditions (collectively, the “Agreement”) with RetailClub Events, Inc. DBA RetailClub (“RetailClub”). If you are completing the registration on behalf of another individual, you warrant that you have made the attendee or participant aware of this Agreement and that he or she has accepted these terms and conditions.

  1. Attendee Requirements:
  • Admittance. Your registration entitles you only to admittance to the Event. All other costs associated with your attendance (e.g., travel and accommodation expenses) shall be borne solely by you, and RetailClub shall have no liability for such costs.
  • Use of Likeness. By attending the Event you grant RetailClub the right at the Event to record, film, photograph, or capture your likeness in any media and to distribute, broadcast, use, or otherwise disseminate, in perpetuity, such media without any further approval from or any payment to you.
  • Event Content. RetailClub, in its sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, programs, speakers, moderators, venue and time.
  • Identification. At time of check in, you must provide a form of photo identification.
  • Attendee Badge Usage. Attendee badges must be worn at all times in Event areas.
  • Visa Requirements. It is solely your responsibility to comply with any government visa requirements and failure to do so does not constitute a basis for a refund.
  • Other Requirements:
    • You will treat our staff, visitors, other customers and service providers with fairness, integrity, dignity and respect.
    • You will respect the values, beliefs, cultures and religions of such persons.
    • You will comply with all reasonable instructions given by our staff while participating in our events.
  1. Prohibited Conduct:
  • Limitations on Use. By registering, you agree not to share, transfer, sell or trade your badge. If you violate this policy, RetailClub may cancel your attendance and retain any payments.
  • Photography, Recording, and Videotaping. You may not record audio or video of sessions at the Event. The Event allows cameras on the show floor. You may take pictures within the show for purposes of company or annual reports, company media pieces, marketing materials, etc.
  • Denial of Admission. RetailClub reserves the right to deny admission to anyone for any reason.
  1. Fees:
  • Payment. Applicable fees are due upon registration. If payment is insufficient or declined for any reason, RetailClub may refuse to admit you and shall have no resulting liability.
  • Taxes. Fees may be subject to sales tax, value added tax, or other taxes and duties, which, if applicable, will be charged to you in addition to the fees.
  • No Retroactive Fees Adjustments. Once you have registered, your fees will not be adjusted downward based on any sponsorship, discount or any other reason.
  • Discount and Special Rates. There are no special rates for daily attendance, expo hall only attendance, etc.; only full event passes are available. If you register using a special rate that is not applicable to you, you hereby give RetailClub the right to charge your card for the difference upon notice that RetailClub does not agree with your selection of a special rate. All determinations of special rates are at the sole discretion of RetailClub . Even if you meet the definition and requirements of a special rate, RetailClub reserves the right to not provide you any special rate.
  • Discount Codes. No discount codes will be honored for onsite attendance. Discount codes may not be used with certain promotions.
  1. Cancellation, Substitution and Lost Badge Policy:
  • Attendee Fees are Nonrefundable. RetailClub does not refund fees.
  • No Carry Over Fees. There will be no carry over of registrations or fees to subsequent events.
  • No Subsequent Speaker Refunds. Paid attendees that later join as speakers are not entitled to a refund of attendee fees paid.
  • Badge Issuance. Once you have received your badge on site, it cannot be changed, substituted or reissued to a different person.
  • No Conversion to Sponsor Pass. Registered attendees cannot convert their passes to complimentary sponsor passes.
  • Substitutions. Ticket transfers to other individuals from your organization are possible using the RetailClub platform. Recipients of ticket transfers made after certain deadlines will be unable to participate in RetailClub’s various meetings and other programs.
  1. Privacy Policy
    RetailClub is committed to protecting the privacy of its attendees and participants. RetailClub’s privacy policy is available here.
  1. Intellectual Property
  • All intellectual property rights in and to the Event, the Event content, and all materials distributed at or in connection with the Event are owned by RetailClub or the Event sponsors or speakers at the Event. You may not use or reproduce or allow anyone to use or reproduce any trademarks (including without limitation “RetailClub “) or other trade names appearing at the Event, in any Event content or in any materials distributed at or in connection with the Event for any reason without the prior written permission of RetailClub.
  • For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by RetailClub; nor does this Agreement grant to you any right or license to any other intellectual property rights of RetailClub, all of which shall at all times remain the exclusive property of RetailClub.
  1. Disclaimer of Warranties, Limitation of Liability
  • RetailClub gives no warranties in respect of any aspect of the Event or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. The Event is provided on an “as-is” basis. RetailClub does not accept any responsibility or liability for reliance by you or any person on any aspect of the Event or any information provided at the Event.
  • Except as required by law, RetailClub shall not be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with this Agreement.
  • The maximum aggregate liability of RetailClub for any claim in any way connected with, or arising from, the Event or this Agreement, whether in contract, tort, or otherwise (including any negligent act or omission), shall be limited to the amount paid by you to RetailClub under this Agreement.
  1. Miscellaneous
  • RetailClub’s failure to exercise any right shall not be deemed a waiver of any further rights. RetailClub shall not be liable for any failure to perform its obligations where such failure results from any cause beyond RetailClub’s reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary for this Agreement to otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub-licensable by you except with RetailClub’s prior written consent. RetailClub may sub-license, transfer, sell or assign this Agreement and/or any of its purported obligations hereunder at any time to any person or entity, with or without notice. This Agreement shall be governed by the internal laws of the State of New York and the parties shall submit to the exclusive jurisdiction of the federal and State courts located in the State of New York.
  • A party that substantially prevails in an action brought under this Agreement is entitled to recover from the other party its reasonable attorneys’ fees and costs. Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein.
  • Neither party shall be liable for any failure to fulfill its obligations under this agreement due to causes beyond its control, including but not limited to, fire, earthquake, explosion or other casualty, riot, or civil commotion, act of government or governmental instrumentality (whether federal, state or local), war, act of terrorism, failure of performance by a common carrier, failure in whole or in part of third party technical facilities (e.g., an Internet hosting company), act of God, epidemic, pandemic or any other cause beyond the reasonable control of such party (a “Force Majeure Event”). Without limiting the foregoing, RetailClub shall not be liable for the cancellation or postponement of the Event for a period longer than twelve (12) months, as a result of any such Force Majeure Event, and your sole and exclusive remedy under will be the reimbursement of the ticket fee.
  • No agency, partnership, joint venture, or employment is created as a result of this Agreement and you acknowledge that you do not have any authority of any kind to bind RetailClub in any respect whatsoever.
  1. Terms of Participation for RetailClub’s Meetings Program
  • Registration deadlines. If you register your ticket before the deadline stated on our website, your RetailClub ticket entitles you to inclusion in RetailClub’s Breakthru Meetings Program (“Meetings Program”). No extensions or exceptions can be granted to this deadline and no refunds will be provided for individuals who want to participate but do not register their ticket before the deadline. 
  • Participating in the Meetings Program is optional.
  • Individuals from Sponsor organizations who will be designated as Hosted Meetings Representatives must register before the deadline stated on our website (only applies to Sponsors who have purchased Hosted Meetings).
  • Deadlines are subject to change at the discretion of RetailClub.
  • Pre-Event process and timelines. RetailClub will provide you with clear guidelines and instructions on the inputs required from you (and associated deadlines) preceding the Event as part of the Meetings Program. These inputs and timelines are needed in order to ensure that you and other Meetings Program participants have the best experience. Failure to provide inputs on a timely basis will result in a sub-optimal experience for you at the Meetings Program and may result in your inability to participate in the Meetings Program. RetailClub takes no responsibility for failure to follow these guidelines resulting in a sub-optimal experience.
  • Meetings. All meetings that RetailClub schedules are double opt-in (both participants must express interest in meeting each other) and subject to (1) the onsite availability indicated by participants, (2) interest levels, and (3) other scheduling factors. RetailClub does not guarantee that participants will receive meetings.
  • Logo. You will be able to upload and edit your organization’s logo, for use prior to, during and following the event. We reserve the right to update, change or edit the logo for operational or technical reasons.
  • Prohibited Conduct.
    • Limitations on Use. You agree not to share, transfer, sell or trade your Meeting Program login credentials other than explicitly permitted by us in writing on our Website or otherwise. If you violate this policy, in addition to our other remedies available under applicable law, we may cancel your participation in the Meetings Program and/or the Event.
    • Confidential Information: Individuals from your organization who participate in any element of the Meetings Program (including during the event, the pre-event process and any post-event actions) are required to follow the Guidelines provided by us. Participant lists shared as part of these programs shall be deemed to be RetailClub’s Confidential Information (as defined below) and are provided solely for your internal use to assist your participation in these programs. For the avoidance of doubt, participant lists should not be (1) shared with anyone else, (2) downloaded, or (3) used other than as described by us. Based on information received as part of RetailClub, individuals from your organization cannot solicit participants (including individuals they are scheduled to meet prior to your meetings) outside of the event other than as we permit. If individuals from your organization breach this provision, your organization may be eliminated from further participation with no refund and blacklisted from future events.
    • Denial of Access. We reserve the right to deny access to the Meetings Program to any person for any reason or no reason at all.

Terms and Conditions for Hosted Buyers

As a Hosted Retailer & Brand Attendee (“you”), participating in RetailClub’s Breakthru Meetings Program (“Breakthru Meetings Program”), Breakthru Talks Program (“Breakthru Talks Program”) and Breakthru Experiences Program (“Breakthru Experiences Program”, collectively “Breakthru Programs”) at RetailClub, scheduled to be held on September 14-17, 2025 at Huntington Beach, CA ( the “Event”), you agree to these terms and conditions (“Terms & Conditions”) with RetailClub Events, Inc. (“RetailClub”). If you are completing a registration on behalf of another individual, you warrant that you have made them aware of this Agreement and that he or she has accepted these Terms & Conditions.

These Terms & Conditions may be modified from time to time, so check back often. We will adjust the “Last revised” date at the top of this document at any time changes are made. Continued participation in the Event by you will constitute your acceptance of any changes to these Terms & Conditions.

  1. Free Tickets & Travel Allowance: RetailClub will provide qualifying individuals from retailers and consumer brands who identify themselves to us as buyers or influencers (individually or as part of groups) of the purchase of applicable retail or ecommerce technology, solutions, products or services for their organizations (“Hosted Retailers & Brands”) with: (a) complimentary tickets to the Event, and (b) travel/hotel reimbursement of up to $1,250 in travel/hotel expenses incurred per person.
  2. Qualifications: Hosted Retailers & Brands: To qualify, individuals must (a) be directly employed by retailers and brands (companies that are primarily in the direct-to-consumer business of online or physical retail of consumer goods and services, including traditional retailers, direct-to-consumer brands and online marketplaces), and (b) be responsible for buying, evaluating or influencing (individually or as part of groups) retail or ecommerce technology or other solutions for their organizations, and (c) take up to eight (8) 15-minute onsite meetings with participating sponsors (“Hosted Meetings”), which are based on a double opt-in process so that they are useful to everyone, and (d) agree to attend one (1) Breakthru Networking Dinner with other Retailers & Brands as part of the Breakthru Experiences Program (“Breakthru Networking Dinner”) and (e) agree to up to (4) email Mutual Match Introductions with participating sponsors.
  3. Non-Hosted Meetings: If you choose to, you can also participate in meetings that are not Hosted Meetings (“Non-Hosted Meetings”) with individuals (including other retailers, brands and investors) participating in the Meetings Program.  These non-hosted meetings are also based on a double opt-in process so that they are useful to everyone. 
  4. Availability Commitment and Meeting Times: 
  5. Breakthru Meetings Program: You commit to being available for all sixteen (16) Meeting Time Slots until you receive your final schedule immediately prior to the event. Your Hosted Meetings may be spread across multiple Meeting Time Slots; they may not be back to back. 
  6. Breakthru Experiences Program: Breakthru Experiences consist of networking dinners, indoor and outdoor group activities, industry content, and level-up content. You commit to being available for one (1) of the Breakthru Networking Dinners on Monday, September 15 at 7:00 pm-9:00 pm PT. 
  7. Travel Arrangements: You are responsible for making your own travel and accommodation arrangements to attend the Event. You can book an onsite hotel room in our dedicated room block by using the custom link provided in your confirmation email. Rooms (including any cancellation fees or deposits) are not refundable if canceled less than 72 hours of your arrival date. We do not guarantee the availability of our hotel room block, and recommend you book early. 
  8. Meetings Program Participation: Hosted Retailer & Brand Attendees must provide relevant information and respond to our requests by our stated deadlines as set forth in our Breakthru Programs guidelines and other communications, including:
  9. Completing a profile (“Profiles”), which includes information about your company and job role. All Profiles are subject to our review and approval.
  10. Requesting meetings with Participating Sponsors for potential Hosted Meetings, and opting in to meeting requests from Participating Sponsors.
  11. Adding Hosted Meetings to calendars.
  12. Completing Your Own Hosted Meetings: We do not combine Hosted Meetings with other individuals from your organization that might also be participating in the Hosted Meetings Program. If more than one person from your organization is attending the Event as a Hosted Retailer & Brand Attendee, each person must complete their own set of Hosted Meetings. If you are unable to attend your Hosted Meetings for any reason, you may not be eligible to receive a complimentary Event ticket or travel/hotel reimbursement. 
  13. Cancellation & Substitutes: If you are approved as a Hosted Retailer & Brand Attendee but become unable to participate in Breakthru Programs even though you are still employed by your organization, you agree to suggest one or more substitutes from your organization as your replacement. Acceptance of any substitute is subject to our prior approval via email.
  14. Notice of Employment Change: If you (a) are no longer employed by, or (b) become aware prior to the Event that you will no longer be employed at the time of the Event or after the Event by the organization upon which you were approved as a Hosted Retailer & Brand Attendee, you must let us know immediately upon your becoming aware. In such cases, you will no longer be eligible to participate in Breakthru Programs or to receive a travel/hotel reimbursement or complimentary RetailClub ticket. We reserve the right to only communicate with you at your work email address regardless of any other email address you may have provided or we may have otherwise used. 
  15. Failure to Complete Breakthru Programs Requirements Onsite: If you pick up your badge onsite at the Event or otherwise attend the Event but do not complete your scheduled Hosted Meetings, or attend a scheduled Breakthru Networking Dinner as part of the Breakthru Experiences Program, then we will not be responsible for any costs associated with your travel or hotel and you will not receive any reimbursement, and your credit card will be charged for your RetailClub ticket per the authorization you agree to below, and applications to attend future RetailClub events as a Hosted Retailer & Brand Attendee may be rejected. Notwithstanding the foregoing, we reserve the right at our sole discretion to prorate your ticket fee and/or your travel/hotel reimbursement calculated based on the total Hosted Meetings for which you were scheduled and that you completed and/or if you met the Breakthru Experiences attendance requirements.
  16. Reimbursement Process: As the final step to receiving your travel and hotel reimbursement of up to $1,250 in travel/hotel expenses incurred, we require that you complete a short feedback form providing specific evaluations of each Hosted Meeting (we will also ask Participating Sponsors to provide feedback on their meetings with you) and Breakthru Experiences you were scheduled for. Please note that RetailClub will not reimburse for any mileage, points or rewards used for travel. Reimbursement is conditioned upon completing all of your Breakthru Programs requirements as set out in these Terms & Conditions and Breakthru Programs guidelines, and submitting the feedback survey and travel/hotel receipts following the event within our stated deadlines. 
  17. Credit Card Details: You agree to provide your credit card information, and authorize us to process a $1 charge on your credit card as part of your ticket registration for the Event. You also authorize us to charge the cost of your ticket at the rate of $2,395.00 to your credit card if you do not complete your Breakthru Programs requirements as described in section above. 
  18. Sharing your Contact Details: You consent to your contact details (including, but not limited to, your First Name, Last Name and Email Address) being shared with (1) the sponsors of any Breakthru Networking Dinners you are scheduled to attend and (2) the individuals (from participating sponsors) you have Hosted Meetings with.
  19. Qualification at RetailClub’s discretion: Qualification as a Hosted Retailer & Brand Attendee is determined solely by RetailClub, and may be revoked at any time. By completing an application to be a Hosted Retailer & Brand Attendee, you agree to these Terms & Conditions.
  20. Mutual Match Introductions: As a Hosted Retailer & Brand, you agree be introduced by email to up to four (4) participating sponsors who (a) you expressed interest in meeting with, and (b) also expressed interest in meeting with you, and (c) you did not have a Hosted Meeting scheduled with at the Event (“Mutual Match Introductions”). Mutual Match Introductions will be made starting Friday, September 9, 2025 and no later than Wednesday, September 17, 2025. a. Although we encourage you to meet with participating sponsors you are introduced to via Mutual Match Introductions (since you both expressed interest in meeting with each other at the Event), you are not required to do so.

RetailClub Events, Inc., (“we”, “us” or “our”) is committed to protecting and respecting your privacy and personal data. This privacy policy will explain how we look after your personal data. Please read it carefully. 

Throughout this document, references to RetailClub’s Website should be read to include any subdomains of the RetailClub website.

If there are any terms in this privacy policy that you do not agree with, please discontinue use of the RetailClub (and associated sub-domains) website, platform, apps and any other products immediately. Consenting to allow us to process and store your data is optional. However, failure to provide that consent will prevent us from delivering information about and access to our events to you as mentioned above.

You also acknowledge that, by accessing or using our Website, you agree to be bound by all of the terms and conditions of use pertaining to our Website and contained in the Terms of Use (available here).

We respect your right to privacy and always comply with your wishes to remove your data from our systems, for further details, see the “Your Rights” section below.

Purpose of this Privacy Policy

This policy gives you information about how RetailClub Events, Inc. collects and processes your personal data through your use of the RetailClub website, data you submit through webforms, joining mailing lists and use of RetailClub platforms, technology and apps, and any data collected at our in-person events.

This privacy policy supplements any more specific privacy notices we may provide to you when collecting specific information from you and is not intended to override them.

The data we collect about you and how it is collected

Personal information you disclose to us

We collect personal information that you voluntarily provide to us when you register on the Website, express interest in obtaining information about our products and services, use our Website chatbot, participate in our events, participate in our meetings and collaboration programs or otherwise when you contact us.

The personal information that we collect depends on the context of your interactions with us and the Website, the choices you make and the products and features you use.

The personal information we collect may include the following: name, address, email address and phone number, alternate email address, job title, profile information, username and password, contact preferences, billing details, assistant details.

Information automatically collected from the Website

We automatically collect certain information when you visit, use or navigate the Website. This information does not reveal your specific identity (like your name or contact information) but may include device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, information about how and when you use our Website and other technical information. This information is primarily needed to maintain the security and operation of our Website, and for our internal analytics and reporting purposes.

Like many businesses, we also collect information through cookies and similar technologies. The information we collect includes: 

  • Log and Usage data. Log and usage data is service-rated, diagnostic, usage and performance information our servers automatically collect when you access or use our Website and which we record in log files. Depending on how you interact with us, this log data may include your IP address, device information, browser type and settings and information about your activity in the Website (such as the date/time stamps associated with your usage, pages and files viewed, searches and other actions you take such as which features you use), device event information (such as system activity, error reports (sometimes called ‘crash dumps’) and hardware settings)
  • Device data: We collect device data such as information about your computer, phone, tablet or other device you use to access the Website. Depending on the device used, this device data may include information such as your IP address (or proxy server), device and application identification numbers, location, browser type, hardware model, Internet Service Provider and/or mobile carrier, operating system and system configuration information.

Most web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove cookies and to reject cookies. If you choose to remove cookies or reject cookies, this could affect certain features or services of our Website.

What we don’t do

RetailClub does NOT:

  • Share attendee contact details with other attendees, except where explicitly disclosed and opted in to such as where scheduled Meetup meetings are canceled and converted to email introductions.
  • Sell or share participant data with third parties, except for sharing data with the technology provider we partner with to deliver our services.
  • Share metadata about how you used our platform with third parties (for example how you searched for people to meet, or who you requested to meet).
  • Require any specialist software to be installed on your system or devices. All access to our proprietary platform is via your web browser. Customers who wish to complete pre-event tasks and/or access virtual event video meetings via their mobile devices can download our app via the App Store or Google Play.

How we use your personal data

We use personal information collected for a variety of business purposes described below. We process your personal information for these purposes in reliance on our legitimate business interests, in order to perform a contract with you, with your consent, and/or for compliance with our legal obligations.

We use the information we collect or receive to:

  • Provide you with information about and access to the events we produce.
  • Deliver and facilitate delivery of RetailClub event services to you and other participants, including user-to-user communication.  
  • Analyze profile or behavioral data to help us improve the events, products and messaging we offer to you.
  • Inform other participants in our events of your participation in our events, such as through our meeting and collaboration programs and our mobile apps, for purposes relating to their presence at our events and the purposes for which you might attend our events as set forth in our various messaging and communications.
  • Inform editorial media and equity analysts that are participating in our events to facilitate their editorial coverage.
  • Respond to user inquiries/offer support to users. We may use your information to respond to your inquiries and solve any potential issues you might have with the use of our Services.
  • Manage user accounts. We may use your information for the purposes of managing your account and keeping it in working order.
  • Send administrative information to you. We may use your personal information to send you product, service and new feature information and/or information about changes to our terms, conditions, and policies.
  • Request feedback. We may use your information to request feedback and to contact you about your use of our events and services.
  • Protect our Services. We may use your information as part of our efforts to keep our events and services safe and secure (for example, for fraud monitoring and prevention).
  • Enforce our terms, conditions and policies for business purposes, to comply with legal and regulatory requirements or in connection with our contract.
  • Respond to legal requests and prevent harm. If we receive a subpoena or other legal request, we may need to inspect the data we hold to determine how to respond.

The above list does not cover customer content, including any personal data about you that may be shared during RetailClub event meetings, Deepdives or other formats associated with our events. See Customer Content section below for more information.

Sharing your personal data

We may share your personal data with selected third parties, including:

  • Service providers who provide IT systems, customer management systems, visitor registration systems, event management systems and administration services and who will process your data in accordance with the terms of our data processing agreements with them. These include providers such as Personatech (RetailClub’s strategic technology partner), Google, Amazon Web Services, Hubspot plus selected in-person event service providers.
  • Other RetailClub event participants, to allow participants to interact with each other via app, web browser or email.

We may share your information with law enforcement agencies, public authorities or other organizations if legally required to do so, or if we have a good faith belief that such use is reasonably necessary to:

  • comply with legal obligation, process or request;
  • enforce our terms and conditions and other agreements, including investigation of any potential violation thereof; 
  • detect, prevent or otherwise address security, fraud or technical issues; or 
  • protect the rights, property or safety of us, our users, a third party or the public as required or permitted by law (including exchanging information with other companies and organizations for the purposes of fraud protection).

We may also disclose your information to third parties:

  • in the event that we sell or buy any business or assets, in which case we may disclose your data to the prospective seller or buyer of such business or assets; or
  • if we or substantially all of our assets are acquired by a third party, in which case information held by us about our users will be one of the transferred assets.

We require all third parties to respect the security of your personal data and to treat it in accordance with the law. We do not allow our third-party service providers to use your personal data for their own purposes and only permit them to process your personal data for specified purposes and in accordance with our instructions.

Legal basis of processing

RetailClub Events, Inc. may store or process personal data in any country where we or our service providers have facilities. By providing personal data for any of the purposes stated above, you acknowledge that your personal data may be transferred to or stored in the United States or in other countries around the world. Such countries may have data protection rules that are different and less protective than those of your country.

Data transfers outside of the EEA

If you are a resident in the European Economic Area, then these countries may not necessarily have data protection laws or other similar laws as comprehensive as those in your country. Data security

We have put in place appropriate security measures to prevent your personal data from being accidentally lost, used or accessed in an unauthorized way, altered or disclosed. In addition, we limit access to your personal data to those employees, agents, contractors and other third parties who have a business need. They will only process your personal data on our instructions and they are subject to a duty of confidentiality.

Unfortunately, the transmission of information via the internet is not completely secure. We will do our best to protect your information, but we cannot guarantee the security of your information transmitted over the internet; any transmission is at your own risk. We will use strict procedures and security features to try to prevent unauthorized access to your information within our control and possession.

We have put in place procedures to deal with any suspected personal data breach and will notify you and any applicable regulator of a breach where we are legally required to do so.

Data retention

We will only retain your personal data for as long as necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements (unless a longer period is required or permitted by law).

In some circumstances we may anonymize your personal data (so that it can no longer be associated with you) for research or statistical purposes in which case we may use this information indefinitely without further notice to you.

Customer content

Customer content is the “in-session” information you provide directly through your participation in RetailClub events, such as meetings data, chat logs, files and any other information uploaded while participating in an event. RetailClub, Inc. uses customer content only in connection with providing the Services–we do not monitor, sell or use customer content for any other purposes.

We do not control the actions of anyone with whom you or any other Event attendee may choose to share information. Therefore, we cannot and do not guarantee that any customer content you or any user provides will not be viewed by unauthorized persons. Nor can RetailClub Events, Inc. control or be responsible for the information a user may choose to share during a meeting or other interaction. You should be cautious about the access you provide to others when using the RetailClub Event technology and the information you choose to share when using the technology. RetailClub Event technology includes networking features, including meetings, roundtables and chat functionality. Ensure when using these features that you do not share any personal data that you do not want to be seen, collected or used by other users.

When you use a link to go from our Website to a website operated by a third party, this Privacy Policy is no longer in effect. We are not responsible for the privacy practices employed by third-party websites linked to or from our Website, nor for the information or content contained therein.

Terms and Conditions for Sponsors Participating in Hosted Meetings as part of Breakthru Meetings

These terms and conditions (“Terms & Conditions”) apply to those individuals (“Hosted Meetings Participant”, “you” or “your”) participating in Hosted Meetings (“Hosted Meetings”) on behalf of sponsors as part of Advisor Circle’s (“we”, “us” or “our”) Breakthru Meetings (“Meetings Program”) scheduled to be held during Future Proof on September 7-10, 2025 in Huntington Beach, CA (the “Event”).

These Terms & Conditions may be modified occasionally, so check back often. So that you are aware changes have been made, we will adjust the “Last revised” date at the beginning of this document. Continued participation in the Event by you will constitute your acceptance of any changes or revisions to these Terms & Conditions.

1. We will arrange a series of 15-minute meetings (“Breakthru Meetings”) between Hosted Financial Advisory Firms & Limited Partners (“Hosted Buyers”), and (b) Hosted Meetings Participants. All Hosted Meetings will take place during Meeting Times, as part of the Event’s Meetings Program. Notwithstanding the number of meetings purchased on behalf of any given Hosted Meetings Participant or in aggregate by all Hosted Meetings Participants, we do not guarantee any minimum number of Hosted Buyers or any minimum number of Hosted Meetings for any Hosted Meetings Participant. The number of meetings arranged for any given Hosted Meetings Participant might be below the number purchased.

    1. Hosted Financial Advisory Firms & Limited Partners” are those qualifying individuals from financial advisory firms and Limited Partnerships (individuals must be (i) a U.S.-registered financial advisor rep (RIA, IBD, or BD) with an active CRD number who is responsible for actively managing institutional or retail client portfolios, (ii) a senior-level employee of a financial advisory firm responsible for managing the technology used by the firm to support its clients and colleagues or responsible for research and due diligence of fund managers, or (iii) A Limited Partner or a member of a Limited Partner who is an external investor in private and public funds and investments) who identify themselves to Advisor Circle as responsible for buying or evaluating public and private funds to add to client portfolios or distribution platforms; or technology and solutions for their company, and who also agree to take up to eight (8) 15-minute Hosted Meetings with Hosted Meetings Participants as part of the Hosted Program. Advisor Circle provides complimentary tickets to the Event and travel reimbursement up to $750 to these Hosted Buyers.
    2. Hosted Meetings Participants” are those individuals who (i) enrolled in the Meetings Program and were designated as Hosted Meetings Representatives for their organization, pursuant to a fully executed contract between their organization and Advisor Circle (“Contract”), or (ii) enrolled in the Meetings Program and were designated as Hosted Meetings Representatives for their organization, following their organization directly purchasing Hosted Meetings as part of the Event. A single organization may have multiple Hosted Meetings Participants. Hosted Meetings Participants are included in the process of arranging Hosted Meetings with Hosted Buyers, which process is defined by Advisor Circle in its sole discretion and may change from time to time.
    3. Meeting Times” are predetermined time slots during which Hosted Meetings take place. The Meeting Times are at the sole discretion of Advisor Circle, will be provided to Hosted Buyers and Hosted Meetings Participants by Advisor Circle and are subject to change by Advisor Circle.

Advisor Circle will notify Hosted Meetings Participants of the specific times of their meetings within Meeting Times prior to the start of the Event. A failure on the part of Hosted Meetings Participants to be available for all Meeting Times may limit the ability of Advisor Circle to arrange Hosted Meetings for those Hosted Meetings Participants.

  1. The number of Hosted Meetings purchased by any given Hosted Meetings Participant either directly or by their organization as part of a Contract is that Hosted Meetings Participant or organization’s “Hosted Meetings Cap”. A Hosted Meetings Cap can be increased by purchasing additional Hosted Meetings at any time set forth by Advisor Circle (deadlines apply at the sole discretion of Advisor Circle).
  2. Hosted Meetings are priced as set forth in the Contract (the price of each meeting being the “Price Per Meeting”) or online during the Event, and the Hosted Meetings Participant must pay an amount equal to the Hosted Meetings Cap multiplied by the Price Per Meeting (“Meetings Payment Amount”). Advisor Circle has the right to increase the Price Per Meeting at any time.
    1. Advisor Circle will complete a post-event reconciliation to determine the number of “Completed Hosted Meetings” which is defined as the number of Hosted Meetings that (i) actually took place, (ii) would have taken place but for the absence of the Hosted Meetings Participant during the Hosted Meeting (including late arrivals resulting in Hosted Meetings that are less than 15 minutes in length), and (iii) would have taken place but for the cancellation of a Hosted Meeting by the Hosted Meetings Participant due to availability or for any other reason.
      1. If the number of Completed Hosted Meetings multiplied by the Price Per Meeting (averaged if more than one Price Per Meeting applies) is less than the Meetings Payment Amount, Advisor Circle will provide a refund of the difference (“Refund”) within 60 days following the end of the Event (“Refund Payment Date”).
  3. Hosted Meetings Participants must provide relevant information and respond to Advisor Circle’s requests by our stated deadlines as set forth in the Breakthru Meetings guidelines (and other communications), including:
    1. Completing their profiles, which includes information about themself and their organizations (“Profiles”). All Profiles are subject to the review and approval of Advisor Circle.
    2. Selecting Hosted Buyers for potential meetings and designating such selections as Hosted Meeting Requests.
    3. Adding Hosted Meetings to their calendars as requested by Advisor Circle.
  4. A Hosted Meetings Participant or their organization may add one or more non-attendees from their organization as Organization Admins (or assign attendees from their organizations as Organization Admins). Organization Admins can complete certain pre-event tasks on behalf of Hosted Meeting Participants. Organization Admins cannot attend the Event unless they hold a valid ticket, pay the applicable ticket fees, and abide by all of the terms and conditions set forth in the Terms of Attendance and Participation, which are available here.
  5. Hosted Meetings Participants must comply with Breakthru Meetings rules and directives, including:
    1. All Hosted Meetings Participants must hold a valid ticket, pay the applicable ticket fees, and abide by all of the terms and conditions set forth in the Terms of Attendance and Participation, which are available here.
    2. Hosted Meetings Participants, must:
      1. Be available during Meeting Times.
      2. Join Hosted Meetings at the times designated by Advisor Circle.
      3. Prepare for the Hosted Meetings assuming that Hosted Buyers have not prepared in advance.
      4. Notify Advisor Circle of any Hosted Buyer who was not present for a Hosted Meeting.
    3. Hosted Meetings Participants must NOT do the following, which may result in termination from the Meetings Program (and/or any subsequent Breakthru Meeting Programs, including future Events):
      1. Contact any of the Hosted Buyers with whom they have Hosted Meetings prior to the event (unless they have also come into contact with those Hosted Attendees in the ordinary course of business unrelated to Hosted Meetings, in which case Hosted Meetings Participants can only reach out to those Hosted Buyers about matters unrelated to Hosted Meetings.
      2. Change the scheduled time of their Hosted Meetings (Hosted Meetings must take place at the time assigned by Advisor Circle).
      3. Contact any Hosted Buyers who do not show up for their Hosted Meeting (unless they have also come into contact with those Hosted Buyers in the ordinary course of business unrelated to Hosted Meetings, in which case Hosted Meetings Participants can only reach out to those Hosted Buyers about matters unrelated to Hosted Meetings.
    4. The Hosted Meetings Participant must each complete a feedback survey following the Event, providing specific evaluations for each meeting. Failure to provide feedback by the Refund Payment Date may delay your Refund until feedback has been completed.
    5. Advisor Circle in its sole discretion determines the eligibility of any Hosted Meetings Participant or Hosted Buyer to be accepted for Hosted Meetings and may in its sole discretion end enrollment of any Hosted Meetings Participant or Hosted Buyer in the Meetings Program or Hosted Meetings at any time and for any reason, including canceling any Hosted Meetings and providing a refund of any Meetings Payment Amount (in such an event the payment amount would be due within 60 days following the end of the Event).
  6. Time is of the essence in all Meetings Program deadlines.

Mutual Match Introductions

  1. Sponsors with a Hosted Meetings Cap may also purchase email introductions to Hosted Financial Advisory Firms & Limited Partners who (a) the Sponsor expressed interest in meeting with, and (b) who also expressed interest in meeting the Sponsor, and (c) the Sponsor did not have a Hosted Meeting scheduled with (“Mutual Match Introductions”). The purchase of Mutual Match Introductions may be made via Sponsor Contract or Sponsor Platform Purchase (deadlines and limits apply at our sole discretion).
  2. We define the process of facilitating Mutual Match Introductions in our sole discretion, which process we may change from time to time at our sole discretion. 
  3. Mutual Match Introductions are made between Hosted Financial Advisory Firms & Limited Partners and Hosted Meetings Representatives and are sent between Friday, September 5, 2025 and Wednesday, September 10, 2025. 
  4. Mutual Match Introductions are solely email introductions with Hosted Financial Advisory Firms & Limited Partners. We do not guarantee that any Hosted Financial Advisory Firms & Limited Partners  will meet with, or agree to meet with, Hosted Meetings Representatives before, during or after the Event.
  5. The number of Mutual Match Introductions purchased by a Sponsor pursuant to a Sponsor Contract or Sponsor Platform Purchase is that Sponsor’s “Mutual Match Introductions Cap“. A Mutual Match Introductions Cap can be increased by purchasing additional Mutual Match Introductions at any time set forth by us (deadlines and limits apply at our sole discretion).
  6. We do not guarantee any minimum number of Mutual Match Introductions for any Sponsor or Hosted Meetings Representative. It’s possible that the number of Mutual Match Introductions for any given Sponsor or Hosted Meetings Representative will be below the number purchased.
  7. Mutual Match Introductions are priced as set forth online or in the Sponsor Contract at the time of purchase (the price of each Mutual Match Introduction being the “Price Per Mutual Match Introduction“). The total amount paid by a Sponsor for Mutual Match Introductions is that Sponsor’s “Mutual Match Introduction Payment Amount“. 

a. We will complete a post-event reconciliation to determine the number of “Completed Mutual Match Introductions” which is defined as the total number of Mutual Match Introductions sent to Hosted Meetings Representatives from a Sponsor organization..

b. If the number of Completed Mutual Match Introductions multiplied by the Price Per Mutual Match Introduction (averaged if more than one Price Per Mutual Match Introduction applies) is less than the Mutual Match Introduction Payment Amount, we will provide a refund of the difference (“Refund“) within 60 days following the end of the Event (“Refund Payment Date“).

RetailClub is an inclusive community. As a platform and focal point for exchanging ideas, engaging conversations, and sharing learning experiences, it is vital that all feel safe and welcome.

RetailClub will not tolerate any abusive behavior of others, inappropriate, illegal, or disruptive to the larger goal.

RetailClub defines “inappropriate behavior” as:

  • Any form of written, verbal, or physical abuse or threats;
  • Derogatory or discriminatory language, gestures, or actions;
  • Any form of harassment, racism, sexism, or other targeted comments that may violate any local, state, or federal laws or cause personal offense to another attendee before, during, or after RetailClub concludes.

This policy extends through the use of the RetailClub App and social media channels.

RetailClub may, in its discretion, take action to address any individual(s) or group(s) it believes fail to meet the standards outlined in this Code of Conduct, including, without limitation, revoking the violating parties’ registration without refund.

RetailClub expects all attendees of our events to follow public health guidelines related to safety, hygiene, and COVID-19, including, without limitation, social distancing, hand washing, staying home if you are sick, and other disease prevention measures.

Media & Content Capture Terms and Conditions

To maintain the integrity of the Future Proof Festival experience and protect participant privacy:

  1. Restricted Areas: Filming, photography, and audio recording are strictly prohibited in the following areas and during the following activities unless explicitly approved in writing by Future Proof:
    • Breakthru Meetings
    • Breakthru Talks
    • Breakthru Activities
    • Breakthru Networking Dinners
    • All stage presentations and speaker sessions
  2. Approved Zones: Media capture is only permitted in:
    • Designated public areas (with attendee consent)
    • Sponsor activation spaces (with sponsor consent)
    • Designated media zones (if applicable)
  3. Drone Use: Drone filming is not permitted without prior written approval. Approved operators must submit a valid drone pilot license and proof of insurance.
  4. Consent Requirement: All individuals featured in filmed or recorded content must provide express verbal or written consent.
  5. Sponsor and Vendor Responsibility: Sponsors and vendors producing their own media content must adhere to the same restrictions and submit their content plans for approval prior to the event.

Violation of this policy may result in revocation of media credentials, removal from the event, or loss of future participation eligibility.
